A network of nineteen relocatable, steel-framed parking modules in the centres of Kyiv, Lviv, Odesa, Dnipro and Ivano-Frankivsk. Each module adds structured parking where Ukrainian cities have almost none, and each carries a large-format digital and static advertising envelope operating twenty-four hours a day. The parking solves a municipal problem and secures the land at nominal ground rent. The advertising generates the return.

THE TRANSACTION — Equity sought US$ 28,000,000 of a US$ 41,866,344 total project cost, alongside US$ 9,000,000 senior debt (DFI or DFC-guaranteed) and US$ 4,866,344 sponsor contribution. Investment period 10 years to 2036; equity or preferred structure.

THE ASSET BASE — 19 parking modules across 5 cities; 2,928 structured parking spaces; 7,620 m² digital LED media; 21,750 m² static media; 197 EV charging points; 3.3% share of the 2030 national out-of-home market.

REVENUE AT STABILISATION — US$ 9.14M at a 53.6% EBITDA margin: media net under master lease US$ 4.89M (53.5%), parking US$ 3.46M (37.9%), EV charging US$ 0.46M, ancillary US$ 0.32M. Media is master-leased to a national out-of-home operator on a guaranteed annual minimum plus overage share.

PROJECTED RETURNS (10-year hold) — Base case: 16.8% levered equity IRR, 3.16x equity multiple, US$ 6.90M stabilised EBITDA, US$ 64.8M exit enterprise value (conservative 2.0% / 1.16x; optimistic 27.5% / 6.07x).

STATED PLAINLY — Parking revenue in Ukraine does not pay for structured parking: parking alone returns roughly 6% on capital, the advertising envelope 45–55%. This is an out-of-home media network built on municipal land obtainable at nominal cost because the asset underneath solves the city's parking problem. The project is at feasibility stage: the sponsor is an established Kyiv equipment supplier contributing equipment at cost, but executed land rights, advertising permits and the media master lease are not yet in place — they are the first calls on the development budget and are fully disclosed in the memorandum.
